These Terms of Service govern use of the website operated by Stratos Development Group, Inc. Client engagements are governed by a separate executed agreement, which prevails in the event of any conflict.

Acceptance of Terms

These Terms of Service govern use of stratosdevgroup.com and the information contained on it. The website is operated by Stratos Development Group, Inc. ("Stratos"), a corporation organized under the laws of the State of Utah, United States.

By accessing or using this website, the user agrees to be bound by these terms. Users who do not agree should not use the website.

Scope

These terms govern this website. They do not create a client relationship and do not govern any engagement between Stratos and a client. Engagements are governed exclusively by a separate written agreement executed by both parties, which prevails in the event of any conflict with this website.

Participation in the Stratos referral program is governed by the separate Partner Program Terms of Service.

Definitions

  • "Site" means stratosdevgroup.com and its pages, content, and forms.
  • "Services" means the advisory, product, design, engineering, AI, data, cloud, and delivery work Stratos performs for clients.
  • "Engagement Agreement" means the separate signed contract, statement of work, or order form under which Stratos performs Services.
  • "Deliverables" means the work product Stratos creates for a client under an Engagement Agreement.

Eligibility and Permitted Use

Users must be at least 18 years of age and capable of forming a binding contract. This website is intended for business use.

Users shall not:

  • Use the website for any unlawful purpose or in violation of these terms.
  • Attempt to gain unauthorized access to the website, its servers, or any connected system.
  • Interfere with or disrupt the operation of the website, including by introducing malicious code or placing unreasonable load upon it.
  • Scrape, harvest, or systematically extract content or contact information from the website.
  • Submit information through the forms on this website that is false, that the user has no right to disclose, or that infringes the rights of any third party.

Website Content

The content of this website describes the capabilities and views of Stratos and is provided for general information only. It does not constitute advice applicable to any particular circumstances and does not constitute an offer capable of acceptance.

Case studies, figures, and outcomes describe results achieved in particular circumstances for particular clients. They are not a prediction or guarantee of the results of any other engagement.

Stratos may change, suspend, or withdraw any part of the website at any time without notice.

Intellectual Property

The website and its contents, including text, graphics, design, layout, code, and the Stratos name and marks, are owned by Stratos or licensed to it and are protected by intellectual property law.

Users may view the website and print or download extracts for internal, non-commercial evaluation. No other copying, republication, distribution, adaptation, or exploitation of any part of the website is permitted without the prior written consent of Stratos.

Client Deliverables and Ownership

Ownership of Deliverables is determined by the applicable Engagement Agreement. Unless that agreement says otherwise, the client owns the Deliverables created specifically for it upon payment in full of the amounts due for that work.

Stratos retains ownership of its pre-existing materials, tools, methods, frameworks, and general know-how, including anything developed independently of an engagement. Where those materials are incorporated into a Deliverable, the client receives a perpetual, non-exclusive licence to use them as part of that Deliverable.

Nothing in an engagement restricts Stratos from performing similar work for others or from using the skills and experience gained.

Fees and Payment

Fees, invoicing, and payment terms are set out in the applicable Engagement Agreement. This website does not offer services for sale and does not process payments.

Where invoices are overdue, Stratos may suspend work and withhold Deliverables until the account is brought current, and may charge interest to the extent the Engagement Agreement or applicable law permits.

Confidentiality

Each party shall protect confidential information disclosed by the other, use it solely for the purpose for which it was disclosed, and disclose it only to those persons who require it and who are bound by equivalent obligations.

This does not apply to information that is public through no fault of the receiving party, was already known to it, is independently developed, or must be disclosed by law, provided that where disclosure is legally required the receiving party gives reasonable prior notice if permitted.

Information submitted through the contact form is handled as described in the Privacy Policy. Users should not submit confidential or sensitive material through a web form.

Disclaimer of Warranties

The site is provided "as is" and "as available". To the fullest extent permitted by law, Stratos disclaims all warranties of any kind relating to the site, whether express, implied, or statutory, including any implied warranty of merchantability, fitness for a particular purpose, title, and non-infringement.

Stratos does not warrant that the website will be uninterrupted, timely, secure, or error-free, or that the information on it is complete, accurate, or current.

Warranties applicable to Services are set out in the applicable Engagement Agreement. This section concerns the website only and does not limit any warranty given in that agreement.

Limitation of Liability

To the fullest extent permitted by law, Stratos shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, business, or goodwill, arising out of or relating to use of this website, however caused and on any theory of liability.

The total aggregate liability of Stratos arising out of or relating to this website and these terms shall not exceed one hundred United States dollars (US$100).

Liability arising from an engagement is governed by the applicable Engagement Agreement and not by this section.

Nothing in these terms excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded. Certain jurisdictions do not permit particular exclusions, and parts of this section may not apply accordingly.

Indemnification

The user shall indemnify and hold harmless Stratos and its officers, directors, employees, and agents from any claim, liability, loss, or expense, including reasonable legal fees, arising out of the user’s use of the website in breach of these terms, violation of any law, or infringement of the rights of any third party.

Third-Party Services and Links

This website relies on third-party infrastructure and may link to third-party websites. Stratos does not control those services and is not responsible for their content, availability, security, or practices. Use of a third-party service is governed by that provider’s own terms.

The providers engaged to operate this website are identified in the Privacy Policy.

Term and Termination

These terms apply for the duration of a user’s use of the website. Stratos may restrict or terminate access at any time, without notice, where it reasonably believes these terms have been breached.

The sections on intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, and governing law survive termination.

Governing Law and Venue

These terms, and any dispute arising out of or relating to them or to this website, are governed by the laws of the State of Utah, United States, without regard to its conflict-of-laws rules.

The state and federal courts located in Utah shall have exclusive jurisdiction, and the parties consent to venue in those courts. Prior to filing, the parties shall attempt in good faith to resolve the dispute by discussion for a period of not less than 30 days following written notice.

General Provisions

If any provision of these terms is held invalid or unenforceable, the remaining provisions remain in full force and effect. Failure by Stratos to enforce any provision does not constitute a waiver of it.

Users may not assign these terms without the prior written consent of Stratos. Stratos may assign them to an affiliate or in connection with a merger, reorganization, or sale of assets.

These terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between the user and Stratos regarding this website and supersede any prior understanding on that subject. They do not supersede an Engagement Agreement.

Changes to These Terms

Stratos may amend these terms from time to time. The date shown at the top of this page indicates the current version. Continued use of the website after an amendment takes effect constitutes acceptance of the amended terms.
